About Us

Khorsand ESOP Advisory (KEA) was founded with a mission to help companies achieve their employee ownership objectives through strategic Employee Stock Ownership Plan (ESOP) consulting and high-quality service. Our firm specializes in ESOP advisory services for organizations at any stage along their ESOP journey. We help evaluate, design, and implement ESOP transactions as well as provide ongoing ESOP consulting services to plan sponsors.

Our Team

Brian Khorsand

Brian advises shareholders, boards of directors, and management teams of employee-owned corporations and organizations exploring ESOP strategies. He works closely with clients to provide tailored ESOP consulting services, specializing in transactions, strategy, and education.

Brian previously worked as a Relationship Manager on the ESOP Consulting team at Principal Financial Group where he served as the point of contact for strategic ESOP consulting to over 110 ESOP companies. He led consulting projects and advised clients regarding ESOP issues such as repurchase liability, stock transactions, benefit-level analysis, plan design, sustainability, mature ESOP issues, and communication.

Prior to his time at Principal, Brian was an Employee Ownership Consultant at the Beyster Institute where he advised company owners and leaders on the feasibility, design, and implementation of ESOP transactions and various forms of equity compensation. He was involved in ESOP feasibility studies for over 100 companies.

Brian graduated with an
MBA from the Rady School of Management at the University of California San Diego and a BA in Business Economics with Emphasis in Accounting from the University of California Santa Barbara.
Charles Chang

​Charles brings extensive expertise in ESOPs and strategic financial modeling, helping companies design, implement, and evaluate ESOP structures that drive long-term success.

Before joining KEA, Charles worked at the Beyster Institute as a Senior Consultant and held roles in corporate governance and strategic planning with major multinationals such as Fiat, BRF - Brasil Foods, Disney Imagineering, and Grupo Boticário. His experience includes contributing to M&A initiatives across Brazil, Argentina, Thailand, Austria, Turkey, and the UAE. In addition, Charles has helped close multiple ESOP transactions across different industries and conducted sustainability studies for established ESOP companies, supporting their long-term growth and resilience.

Charles holds dual bachelor’s degrees in Electrical Engineering and Business Administration, as well as an MBA from UC San Diego.
